TERMS AND CONDITIONS OF TRADE FULFILD (PTY) LTD
1. INTRODUCTION
1.1. These Terms and Conditions (“Terms”) govern the business relationship between Fulfild(Pty) Ltd (“the Company”) and its customers(“the Customer).
1.2. The Company provides logistics, courier, and delivery services under these Terms.
1.3. By engaging the Company’s services, the Customer agrees to abide by these Terms.
2. GENERAL TERMS
2.1. The Company reserves the right to refuse any order or consignment at its discretion.
2.2. The Company is not a common carrier and shall provide services on these Terms only.
2.3. Any conflicting terms presented by the Customer shall be null and void.
3. CUSTOMER RESPONSIBILITIES
3.1. The Customer must ensure all consignments are properly packaged, labeled, and addressed.
3.2. The Customer must comply with all applicable laws and regulations.
3.3. The Customer must declare accurate shipment details, including contents and value, when necessary.
3.4. The Customer is responsible for obtaining any necessary permits or authorizations for transported goods.
4. DELIVERY TERMS
4.1. The Company shall take reasonable steps to deliver consignments within estimated timeframes but does not guarantee delivery times.
4.2. If the recipient is unavailable, the Company may attempt re-delivery or return the consignment at the Customer’s expense.
4.3. If a consignment remains unclaimed for more than 30 days, the Company reserves the right to dispose of it.
5. LIABILITY LIMITATIONS
5.1. The Company shall not be liable for:
∙Loss or damage due to inadequate packaging by the Customer.
∙Delays due to force majeure (e.g., strikes, natural disasters, government actions).
Indirect or consequential losses, including lost profits. 5.2. Claims for loss or damage must be submitted in writing within 7 days of delivery. 5.3. The Ccompany’s liability is limited to the lesser of:
∙The declared value of the consignment; or
∙R1,000 per consignment if no value was declared.
6. PROHIBITED AND RESTRICTED ITEMS
6.1. The Company does not transport hazardous, illegal, perishable, or high-value goods such
as cash, jewelry, or firearms. 6.2. Any consignment found to contain prohibited items may be
disposed of without notice. Please refer to our prohibited item list.
7. INSURANCE
7.1. The Customer is responsible for insuring consignments.
7.2. The Company may arrange insurance upon request, at the Customer’s expense.
7.3. Any insurance claim shall be subject to the insurer’s terms and conditions.
8. FEES AND PAYMENTS
8.1. All fees must be paid as per the agreed invoice terms. 8.2. Late payments shall accrue interest at the maximum rate permitted by law.
9. CONFIDENTIALITY AND DATA PROTECTION
9.1. Both parties shall protect each other’s confidential information.
9.2. The Company shall comply with the Protection of Personal Information Act (POPIA) regarding personal data handling.
10. DISPUTE RESOLUTION
10.1. Any disputes shall first be resolved through negotiation.
10.2. If unresolved, the dispute shall be referred to arbitration in accordance with South African law.
11. GOVERNING LAW
11.1. These Terms are governed by the laws of South Africa.
11.2. Any legal action shall be taken in a competent South African court.
12. SEVERABILITY
12.1. If any provision of these Terms is found to be invalid, the remaining provisions shall remain in effect.
By using the Company’s services, the Customer agrees to these Terms.
